Inspirato Incorporated (the “Registrant”) is filing this Registration Statement with the Securities and Exchange Commission (the “Commission”) pursuant to Rule 462(b) under the Securities Act of 1933, as amended. This Registration Statement relates to the public offering of securities contemplated by the Registration Statement on Form S-1 (File No. 333-264598) (the “Prior Registration Statement”), which the Commission declared effective on May 9, 2022.

 

The Registrant is filing this Registration Statement for the sole purpose of increasing by 867,844 shares the aggregate number of shares of its Class A common stock, par value $0.0001 per share, to be registered for resale by certain selling stockholders named therein. The additional shares that are being registered are in an amount and at a price that together represent no more than 20% of the maximum aggregate offering price set forth in the Calculation of Filing Fee table contained in the Prior Registration Statement. In addition, we have reviewed originals or copies of such corporate records of the Company, certificates of public officials, a certificate of an officer of the Company as to factual matters, and such other documents that we considered necessary or advisable for the purpose of rendering the opinions set forth below, including the Company’s Inspirato LLC 2012 Unit Option Plan and the Company’s 2021 Equity Incentive Plan (each, a “Plan”) and the option agreements associate with each Plan (together with the Plans, the “Plan Documents”). We have not independently established the facts stated therein.

 

In our examination, we have assumed the genuineness of all signatures, the authenticity and completeness of all documents submitted to us as originals, the conformity with the originals of all documents submitted to us as copies, the authenticity of the originals of such documents and the legal competence of all signatories to such documents. We have also assumed the authority of such persons signing on behalf of the parties thereto other than the Company and the due authorization, execution and delivery of all documents by the parties thereto other than the Company. We have assumed that the certificates representing the Shares have been properly authenticated by the signature of an authorized officer of the Company’s transfer agent.
