Item 8.01

Other Events.

On February 9, 2021, Thayer Ventures Acquisition Corporation (the “Company”) announced that the holders of the Company’s units sold in the Company’s initial public offering (the “Units”) may elect to separately trade the shares of Class A common stock, par value $0.0001 per share (“Class A Common Stock”), and redeemable warrants included in the Units commencing on February 9, 2021. Each Unit consists of one share of Class A Common Stock and one-half of one redeemable warrant to purchase one share of Class A Common Stock. Any Units not separated will continue to trade on The Nasdaq Capital Market (“Nasdaq”) under the symbol “TVACU.” Any underlying shares of Class A Common Stock and redeemable warrants that are separated will trade on Nasdaq under the symbols “TVAC” and “TVAW,” respectively. No fractional warrants will be issued upon separation of the Units and only whole warrants will trade. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate such holders’ Units into shares of Class A Common Stock and redeemable warrants.

Thayer Ventures Acquisition Corporation Announces the Separate Trading of its Class A Common Stock and Redeemable Warrants Commencing February 9, 2021

VALENCIA, CA, February 9, 2021 — Thayer Ventures Acquisition Corporation (Nasdaq: TVACU) (the “Company”) today announced that, commencing today, February 9, 2021, holders of the units sold in the Company’s initial public offering of 17,250,000 units which commenced trading on December 11, 2020, may elect to separately trade the shares of Class A common stock and redeemable warrants included in the units. Those units not separated will continue to trade on The Nasdaq Capital Market (“Nasdaq”) under the symbol “TVACU,” and the shares of Class A common stock and redeemable warrants that are separated will trade on Nasdaq under the symbols “TVAC” and “TVACW,” respectively. No fractional warrants will be issued upon separation of the units and only whole warrants will trade. Holders of units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the units into shares of Class A common stock and redeemable warrants.
